Overview

By trading links both webmasters get more visitors, but we also mutually gain 'page rank' AND increase the number of 'backward links' that raise our search engine importance.

There is literally NO downside. You will not lose page rank or be penalized - but you must follow established webmaster's guidelines and not link to bad neighborhoods.

Being in first or second position on a search engine results page (SERP) for a searched word or phrase that is extremely popular is ONE of only TWO ways to get volume traffic to your web site. The other is by having lots of other web sites pointing to yours.

Ironically, it is those incoming links from the other web sites that are known to boost your search engine rankings - not, in fact, search engine optimization (SEO) of your pages, though of course that is a pre-requisite. Read this article on topical linking, also known as keyword-rich linking.

Though it helps greatly, web sites do NOT need to be topically-related to benefit from a link exchange program. Normally you would never consider linking to web sites that are not 'on topic' or related to your core industry or products.
